If memory serves me right 3.0.2 was OE 1.5 so tspanel wont install could be wrong about the OE version though.
according to satuniverse records newnigma 3.0.2 released 25-9-2011 so i suppose to be kernel 1.6
TSpanel only disappears with old kernel with new kernel if installed properly should appear or at least give what is the error
to remember with newnigma always use manual telnet method and use opkg install.... instead ot ipkg install

newnigma2 can be pain do this it will work 100% sure
1, send tunisia sat manager 3.0 to tmp folder then from bule panel download then reboot
blue panel again you will see tunisiasat manager 3.0 then
you will see ts panel 4.1 on the first page update
now you will have both
if you like keep both if not just remove tunisiasat manager 3.0
